The agent of the former Juventus and Chelsea manager claims his client has agreed a two-year contract and will be unveiled by the Giallorossi later on Wednesday.
Ranieri, who hails from the Eternal City and played for the club, will take charge of Roma for the first time in the Serie A encounter against Siena on September 13.
Spalletti tendered his resignation after seeing his side lose both of their two opening league games.
"An agreement has been reached," said Ranieri's agent Mattia Grassani.
"Ranieri will sign a two-year contract with Roma before being unveiled to the media."
Ranieri added: "This is a great satisfaction for me. This is a dream come true as I follow a professional journey that began many years ago.
"I am honoured and convinced I will be able to do and give the best for Roma."
Meanwhile, Former Internazionale coach Roberto Mancini is unaware of any interest from AC Milan, according to his agent.
The future of new Rossoneri boss Leonardo has already been brought into question after Milan were thrashed 4-0 by city rivals Inter last weekend.
The Brazilian is just two league games into his reign at the San Siro and Mancini's agent, Giorgio De Giorgis, claims reports of interest in his client as a possible replacement are not true.
"It's being said that Mancini could be the next coach of Milan? I replied to your colleagues that Roberto is ready to go to Serie A, just like anywhere else in the world," said De Giorgis.
"Milan? I can't comment, I don't know anything and I never heard anything. Ask Roberto."
Elsewhere, Bologna have admitted to being disappointed at having missed out on the signing of Sevilla striker Javier Chevanton.
The 29-year-old Uruguay international had seemed certain to move to Italy in recent days, before a deal collapsed just ahead of the transfer window shutting.
Bologna sporting director Renato Zaccarelli commented: “With regards to Chevanton we had an agreement with the player, but unfortunately Sevilla pulled back at the last moment and nothing happened.
“Now we'll see what happens in January.”
Chevanton has struggled to make a first-team impact in three seasons with Sevilla and has previous experience of Italian football from a spell with Lecce.
